Terms of Service

These Terms govern your access to and use of Bizfylr's websites and IT services.

Welcome to Bizfylr Solutions Private Limited ("Bizfylr", "we", "us", "our"). These Terms govern your access to and use of our websites (including bizfylr.com) and our IT services, including software development, SaaS setup, automation/integrations, UI/UX, cloud infrastructure/DevOps, digital marketing, managed support, and related deliverables (collectively, the "Services"). By using our Services, you agree to these Terms.

  1. Scope of Services

    We provide software and digital services as an independent provider. We are not a law firm, accounting agency, or government representative. Any documentation or guidance we provide is for operational or strategic support only and does not constitute legal, tax, or financial advice.

  2. Eligibility & Client Responsibilities

    • You must be at least 18 years old and legally capable of entering binding contracts.
    • You agree to provide accurate information during onboarding and respond timely to project queries, reviews, and approvals.
    • You will provision or authorize required access (e.g., cloud consoles, domains/DNS, app stores, analytics/ad accounts, payment gateways) and remain responsible for your compliance with those platforms' terms.
  3. Orders, Proposals & Changes

    Proposals/scope documents or checkout pages define deliverables, assumptions, timelines, and fees. Material scope changes (features, integrations, brand/new platforms) may require a change request with revised pricing and schedule.

  4. Fees, Payments & Taxes

    • Pricing may include Bizfylr service fees plus pass-through costs (cloud, licenses, APIs, domains, app-store fees, plugins).
    • Invoices are due as stated; late/non-payment may result in suspension of environments, deployments, or access to deliverables.
    • Prices are exclusive of taxes. You are responsible for applicable VAT/GST/withholding/duties in your jurisdiction.
  5. Timelines, Dependencies & Force Majeure

    Schedules are estimates and depend on timely inputs/approvals and third-party availability (cloud providers, app reviews, payment gateways). We are not liable for delays due to client dependencies, outages, regulatory reviews, or events beyond reasonable control.

  6. Acceptable Use

    You will not use the Services to conduct unlawful activity; infringe IP; distribute malware; harvest data; host pirated, hateful, or abusive content; or violate third-party platform policies or sanctions/export rules.

  7. Intellectual Property

    • Your Materials: You grant Bizfylr a limited, revocable license to use your brand assets, content, data, and environments solely to deliver the Services.
    • Deliverables: Upon full payment, ownership or license rights transfer as specified in the proposal/SOW. Bizfylr retains rights to pre-existing IP, reusable components, frameworks, and proprietary tools used during delivery.
    • Open-Source & Third-Party Code: We may use OSS or third-party packages subject to their licenses; you agree to comply with such terms for continued use.
  8. Confidentiality & Data Protection

    Both parties will protect confidential information using reasonable safeguards and use it only for the project. We process personal data per our Privacy Policy. You warrant that any third-party personal data shared with us is lawfully obtained and sharable.

  9. Third-Party Services & Sub-processors

    We may integrate or rely on third-party services (e.g., AWS/Azure/GCP, Firebase, Stripe, Mailchimp, analytics, CI/CD, comms tools). Your use of those services is subject to their terms. Bizfylr is not liable for changes, limits, or downtime imposed by third parties.

  10. Acceptance, Warranty Window & Support

    • User Acceptance Testing (UAT): Unless otherwise agreed, you will review and either approve or provide written defects within 7 days of delivery. Lack of response equals provisional acceptance.
    • Bug-Fix Warranty: For custom development, we offer a 30-day defect-fix window post acceptance/Go-Live for issues against the approved scope. Enhancements/new features are billed separately.
    • Support/SLA: Any ongoing SLA/retainer (response times, coverage hours, channels) will be defined in the proposal. Ad-hoc support is provided on a best-effort basis.
  11. Security & Environments

    We apply reasonable security practices (RBAC, MFA where feasible, secret managers, least-privilege, logging). You are responsible for your account security, credential hygiene, backups of your data/assets, and revoking/rotating access when team changes occur.

  12. Warranties & Disclaimers

    Services are provided "as is." We do not guarantee specific KPIs, rankings, revenue, or uninterrupted uptime. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  13. Limitation of Liability

    To the fullest extent permitted by law, Bizfylr is not liable for indirect/special/consequential damages (including lost profits, data, goodwill). Our aggregate liability is capped at the fees you paid for the specific service in the 90 days preceding the claim.

  14. Indemnity

    You agree to indemnify and hold Bizfylr harmless from claims, damages, or costs arising from your content, misuse of the Services, violations of law/platform terms, or infringement arising from specifications you supplied.

  15. Suspension & Termination

    We may suspend/terminate access for material breach, abuse, or fraud. Either party may terminate a project per the proposal. Clauses relating to payment, IP, confidentiality, data protection, limitations, and indemnity survive termination.

  16. Refunds

    Refunds are handled per our Refund & Cancellation Policy.

  17. Governing Law & Dispute Resolution

    These Terms are governed by Indian law. Courts in Patna, Bihar have exclusive jurisdiction. Parties will attempt amicable resolution before formal proceedings.

  18. Changes to These Terms

    We may revise these Terms periodically. Updates will appear here with a new "Last updated" date.
